Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement ("Agreement") is entered into on 6/4/2026 ("Effective Date"), by and between:

Acme Corp, located at 123 Business Rd, Tech City (hereinafter referred to as the "Disclosing Party")

AND

Jane Doe, located at 456 Freelance Ave, Code Town (hereinafter referred to as the "Receiving Party").

The parties intend to explore a potential business relationship specifically for the purpose of discussing a potential business partnership regarding software development (the "Purpose"). In connection with the Purpose, each party may disclose to the other certain confidential and proprietary information.

1. Definition of Confidential Information

"Confidential Information" means any data or information that is proprietary to the Disclosing Party and not generally known to the public, whether in tangible or intangible form, whenever and however disclosed.

2. Obligations of Receiving Party

The Receiving Party agrees to hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party. The Receiving Party shall carefully restrict access to Confidential Information to employees, contractors, and third parties as is reasonably required.

3. Exclusions from Confidential Information

Confidential Information does not include information that: (a) is or becomes publicly known through no wrongful act of the Receiving Party; (b) was already known to the Receiving Party without an obligation of confidentiality; or (c) is independently developed by the Receiving Party.

4. Term

The nondisclosure provisions of this Agreement shall survive the termination of this Agreement and Receiving Party's duty to hold Confidential Information in confidence shall remain in effect until 2 year(s) after the Effective Date.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Delaware without regard to its choice of law principles.

IN WITNESS WHEREOF, the parties hereto have executed this Mutual Non-Disclosure Agreement as of the Effective Date.
